SayPro Sponsorship Agreement

This Sponsorship Agreement (“Agreement”) is entered into on this __ day of __, 2025, by and between:

1. Recitals

This Agreement sets forth the terms and conditions under which the Sponsor will participate in the SayPro Festival scheduled to take place on [Event Date(s)] at [Event Location]. The Sponsor agrees to the terms outlined below and confirms their financial commitment and participation in the event.

2. Sponsorship Commitment

The Sponsor agrees to participate as a [Insert Sponsorship Level] Sponsor for the SayPro Festival, providing financial support in the amount of [Insert Sponsorship Amount].

A. Sponsorship Benefits:

In exchange for the sponsorship payment, the Organizer agrees to provide the following benefits:

  • Branding and Visibility: Placement of the Sponsor’s logo on the event website, promotional materials, social media platforms, signage, and other materials as agreed upon.

4. Organizer Responsibilities

The Organizer agrees to the following obligations:

  • Event Execution: Execute and manage the SayPro Festival in accordance with the agreed-upon schedule and terms.
  • Sponsor Placement: Provide the Sponsor with all agreed-upon branding, promotional visibility, and booth space at the event.
  • Marketing and Promotion: Promote the Sponsor’s participation in the event through email marketing, social media campaigns, press releases, and other channels.
  • Event Logistics: Ensure proper event management, including access to the event venue, signage placement, and support for sponsor activations.

5. Term and Termination

This Agreement will commence on the date it is signed by both parties and will remain in effect until the event has concluded, with all financial obligations met.
Either party may terminate this Agreement with written notice if the other party fails to meet any significant terms or obligations outlined herein, subject to a notice period of [Insert Number of Days].

In the event of termination by the Sponsor, the Organizer will retain any fees already paid by the Sponsor, and no further payments will be refunded. If the Organizer cancels the event due to unforeseen circumstances, the Sponsor will be refunded for any unfulfilled sponsorship services.

6. Force Majeure

Neither party shall be held liable for any delay or failure in performance under this Agreement due to causes beyond their reasonable control, including but not limited to natural disasters, strikes, or governmental restrictions (force majeure events). In such an event, both parties agree to work together to reschedule or reallocate sponsorship benefits as appropriate.

7. Indemnification

The Sponsor agrees to indemnify and hold harmless the Organizer, its officers, employees, and agents from any claims, damages, or losses arising out of the Sponsor’s participation in the SayPro Festival, including but not limited to intellectual property infringement, bodily injury, or property damage caused by the Sponsor’s materials, personnel, or actions.

8. Intellectual Property

  • Organizer’s Intellectual Property: The Sponsor acknowledges that the Organizer retains all rights to the festival name, logo, branding, and materials associated with the event.
  • Sponsor’s Intellectual Property: The Organizer will not use the Sponsor’s logo or trademarks without prior written consent, except as permitted under this Agreement for marketing and promotional purposes related to the event.

9. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of this agreement, including event plans, marketing strategies, and sponsorship details, unless otherwise agreed in writing.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Insert Jurisdiction] without regard to its conflict of laws provisions. Any disputes arising under this Agreement shall be resolved through binding arbitration in [Insert Location].
